Scope of the Role
This position is responsible for managing and providing legal representation to and policy advocacy for executive management, managers, and other employees to promote Golden Spread Electric Cooperative, Inc.’s (“Golden Spread”) interests and the interests of its sixteen (16) Member distribution cooperatives.
Essential Job Functions
Communicate persuasively, orally and in writing, to develop positions and influence outcomes in regulatory proceedings and related market activities.
Confer and coordinate with the General Counsel, other in-house attorneys, outside legal counsel, and business and market personnel in performing legal, regulatory, legislative, environmental and market advocacy work.
Manage and provide effective reporting to the General Counsel and Board of Directors on various legal matters.
Communicate effectively across the organization and with outside
Provide legal advice and support on transactional and organizational policy work.
Manage representation of Golden Spread in administrative and regulatory proceedings at Public Utility Commission of Texas (PUCT), Federal Energy Regulatory Commission (FERC), Texas Commission on Environmental Quality (TCEQ), Railroad Commission of Texas (RRC), and other regulatory agencies and quasi-governmental organizations such as the Southwest Power Pool (SPP) and Electric Reliability Council of Texas (ERCOT), market organizations, the North American Electric Reliability Corporation (NERC), and state and federal judicial proceedings.
Provide legal support and direction for policy and strategy for Golden Spread’s advocacy and participation at the SPP, ERCOT and related compliance and reliability
Provide and manage legal representation in compliance
Draft, review and edit pleadings, comments, testimony, correspondence, opinions, briefs and other legal documents. Assist in preparing, reviewing and interpreting policies, guidelines, and procedures.
Conduct legal research, records searches, and statutory interpretation.
Supervise and manage outside legal counsel and consultants.
Complexity of Problems
Intermediate level of complexity of discretion and sound judgement and impeccable ethics. The most complex problems will pertain to the implementation of strategy and policies for Golden Spread. Ability to discern the level of issue and respond to various legal questions and tasks from managers and staff regarding legal advice and problem-solving. Significant complexity is required to research legal matters and assist General Counsel on all delegated authority.

Required Experience
D. from an accredited law school.
Member of the State Bar of Texas, or willingness and ability to gain
3-5 years, progressively responsible experience in private practice or as corporate or government counsel.
Proficient with word processor (Word) and internet-based programs, including document exchange programs (Adobe) and legal research databases (Westlaw or Lexis).
Demonstrated ability to perform legal research, prepare complex documents, and maintain confidentiality.
